Terms and Conditions of Service

1. Introduction and Acceptance of Terms
Welcome to EventGrid, operated by The Event Grid, LLC ("EventGrid," "we," "us," or "our"). EventGrid is an online event discovery, ticketing, and event management marketplace that enables event organizers to create, publish, promote, and sell tickets to events, and enables attendees to discover and purchase tickets to those events via our website at theeventgrid.com, our iOS and Android mobile applications, and any related services (collectively, the "Platform").
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and The Event Grid, LLC governing your access to and use of the Platform. By registering for an account, purchasing tickets, listing an event, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must immediately stop using the Platform. We reserve the right to modify these Terms at any time. Continued use of the Platform after any modification constitutes acceptance of the updated Terms.
2. Definitions
The following definitions apply throughout these Terms:
• "Platform" means the EventGrid website, mobile applications, APIs, and all related services operated by The Event Grid, LLC.
• "User" means any individual or entity that accesses or uses the Platform, including Attendees and Organizers.
• "Attendee" means a User who browses events, purchases tickets, or registers to attend an event listed on the Platform.
• "Organizer" means a User who creates, lists, manages, and sells tickets to events through the Platform.
• "Event" means any in-person, virtual, or hybrid gathering, including but not limited to concerts, festivals, conferences, workshops, community meetups, and sporting events, listed on the Platform by an Organizer.
• "Ticket" means a digital access credential (including QR codes or e-tickets) issued to an Attendee upon successful purchase of event admission.
• "Content" means any text, images, video, audio, event descriptions, promotional materials, logos, or other materials submitted, uploaded, or published on the Platform.
• "Fees" means any service fees, processing fees, or platform fees charged by EventGrid in connection with ticket transactions.
• "Stripe" means Stripe, Inc., EventGrid's third-party payment processing partner.
3. Eligibility and User Accounts
3.1 Eligibility
By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding agreement under applicable law. If you are using the Platform on behalf of a business, organization, or other legal entity, you represent that you are authorized to bind that entity to these Terms.
3.2 Account Registration
To access certain features of the Platform, including purchasing tickets or listing events, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to keep your account information updated at all times. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately at support@theeventgrid.com if you believe your account has been compromised or accessed without authorization. EventGrid is not liable for any loss or damage arising from unauthorized account access resulting from your failure to safeguard your credentials.
3.3 Account Types
The Platform supports two primary account types: Attendee accounts for ticket buyers and event discovery, and Organizer accounts for event creation and ticket sales. Organizers may be required to complete additional identity verification and provide banking information to receive payouts via Stripe. EventGrid reserves the right to approve or deny Organizer account applications at its sole discretion.
3.4 Account Termination by User
You may close your account at any time by contacting us at support@theeventgrid.com or through your account settings. Closing your account does not entitle you to a refund of any Fees paid or tickets purchased prior to closure.
4. Platform Use and Acceptable Conduct
4.1 Permitted Use
EventGrid grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes: discovering events, purchasing tickets as an Attendee, and creating and managing events as an Organizer.
4.2 Prohibited Conduct
You agree not to engage in any of the following activities when using the Platform:
• Posting false, misleading, or fraudulent event listings or ticket information.
• Reselling tickets at a markup or operating as an unauthorized ticket broker through the Platform.
• Using automated tools, bots, scrapers, or scripts to access, collect data from, or interact with the Platform.
• Circumventing, disabling, or interfering with any security features, access controls, or fraud prevention systems.
• Uploading or transmitting viruses, malware, or any harmful or disruptive code.
• Impersonating any person, entity, or event organizer, or misrepresenting your affiliation with any person or organization.
• Using the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
• Collecting or harvesting personal information of other users without their consent.
• Engaging in harassment, abuse, threats, or discriminatory behavior toward other users, organizers, or EventGrid staff.
• Listing events that promote illegal activity, violence, hate speech, or content that violates our Community Guidelines.
• Attempting to gain unauthorized access to any part of the Platform, servers, or databases.
EventGrid reserves the right to investigate violations and take any action it deems appropriate, including suspending or permanently terminating accounts, removing content, and reporting activity to law enforcement authorities.
5. Organizer Terms and Responsibilities
5.1 Event Listings
As an Organizer, you are solely responsible for the accuracy, legality, and completeness of all event information you publish on the Platform, including event descriptions, dates, times, venue details, ticket pricing, and any terms or conditions applicable to your event. You represent and warrant that all information provided is truthful and not misleading.
5.2 Organizer Obligations
By listing an event on EventGrid, you agree to:
• Deliver the event as described at the time and place specified in the listing.
• Obtain all necessary permits, licenses, venue agreements, insurance, and regulatory approvals required to host the event.
• Comply with all applicable laws, including health and safety regulations, fire codes, capacity limits, and any local authority requirements.
• Promptly communicate any material changes to your event (including rescheduling, venue changes, or cancellations) to EventGrid and to ticket holders.
• Honor all tickets sold through the Platform and provide entry to ticket holders in accordance with the published event terms.
• Handle attendee data collected through the Platform in compliance with applicable data protection laws, including GDPR where applicable.
5.3 Event Cancellations and Changes by Organizer
If you cancel or materially change an event (including date, time, venue, or format), you must notify EventGrid immediately. In the event of a cancellation, EventGrid will initiate refunds to ticket holders in accordance with Section 7.3. The Organizer is responsible for any refund amounts that have already been disbursed as payouts. EventGrid reserves the right to recover such amounts from future payouts or directly from the Organizer.
5.4 Prohibited Event Listings
Organizers may not list events that:
• Promote or facilitate illegal activity of any kind.
• Involve the sale of prohibited goods or substances.
• Contain hate speech, incitement to violence, or discriminatory content targeting any protected group.
• Infringe upon the intellectual property rights of any third party.
• Misrepresent the nature, location, or any material aspect of the event.
EventGrid reserves the right to remove any event listing at any time without notice if it determines, in its sole discretion, that the listing violates these Terms or is otherwise objectionable.
5.5 Organizer Indemnification
Organizers agree to indemnify, defend, and hold harmless The Event Grid, LLC, its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) the Organizer's event; (b) any breach of these Terms by the Organizer; (c) any claim by an Attendee related to the event; or (d) the Organizer's violation of any applicable law or third-party rights.
6. Ticketing and Payments
6.1 Ticket Purchases
All ticket purchases made through the Platform are transactions between the Attendee and the Organizer. EventGrid acts as an intermediary marketplace and payment collection agent on behalf of Organizers. By completing a purchase, you agree to pay the full ticket price plus any applicable service fees displayed at checkout.
6.2 Payment Processing
All payments on the Platform are processed by Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service and authorize the charge to your designated payment method. EventGrid does not store, access, or retain your payment card details. All card data is entered directly into Stripe's secure payment interface and is governed by Stripe's PCI-DSS certified environment.
6.3 Service Fees
EventGrid charges service fees on ticket transactions to support platform operations. Fees are clearly displayed before you complete your purchase and are non-refundable except where required by applicable law or as expressly stated in these Terms. Organizers may also include their own booking or processing fees, which will be itemized at checkout.
6.4 Organizer Payouts
Ticket sale proceeds, less EventGrid's platform fees, are disbursed to Organizers via Stripe. Payout schedules and any applicable holds or reserves are governed by the Organizer's agreement with Stripe and EventGrid's payout policies, which may be updated from time to time. EventGrid reserves the right to withhold payouts where there is a reasonable suspicion of fraud, a disputed transaction, or a breach of these Terms.
6.5 Ticket Delivery
Upon successful payment, Tickets are delivered digitally to the email address associated with your account and are also accessible within the EventGrid mobile application. It is your responsibility to ensure your email address is current and accurate. EventGrid is not responsible for Tickets that are undelivered due to incorrect contact information provided by the Attendee.
6.6 Ticket Validity and Entry
Each Ticket contains a unique QR code or digital credential that is valid for a single entry to the event. Duplicate, counterfeit, or resold Tickets that have been invalidated may be refused entry. EventGrid is not responsible for fraudulent Tickets obtained outside of the Platform.
7. Refunds, Cancellations, and Exchanges
7.1 General Refund Policy
All ticket sales are final unless the event is cancelled, rescheduled, or materially changed by the Organizer, or as otherwise required by applicable consumer protection law. EventGrid does not guarantee refunds for Attendee change of mind, inability to attend, or personal circumstances.
7.2 Organizer Refund Policies
Organizers may set their own refund policies at the time of event creation, which will be displayed on the event listing page. Where an Organizer permits refunds, requests must be submitted through the Platform within the timeframe specified by the Organizer. EventGrid will process approved refunds to the original payment method, excluding non-refundable service fees unless required by law.
7.3 Event Cancellation by Organizer
If an Organizer cancels an event, EventGrid will automatically initiate full refunds of the ticket face value to all Attendees. Service fees may be retained unless otherwise required by law. Refunds will be processed to the original payment method within 5–10 business days, subject to bank processing times. EventGrid will notify affected Attendees by email as soon as practicable following a confirmed cancellation.
7.4 Event Rescheduling
If an event is rescheduled to a new date or time, Attendees will be notified by email. Tickets will remain valid for the rescheduled date. If an Attendee cannot attend the rescheduled event, they may request a refund within the window specified in the reschedule notification, subject to the Organizer's refund policy.
7.5 Disputes
If you have a dispute regarding a ticket purchase or refund, please contact our support team at support@theeventgrid.com. EventGrid will use reasonable efforts to assist in resolving disputes between Attendees and Organizers, but is not obligated to do so and its determination is not binding on the parties.
8. Venues
EventGrid provides a venue discovery feature that allows Organizers to browse, list, and associate venue locations with their events. EventGrid does not own, operate, manage, or endorse any venue listed on the Platform. All venue bookings, rental agreements, and access arrangements are made directly between the Organizer and the venue operator.
EventGrid makes no representations or warranties regarding the accuracy of venue listings, availability, capacity, accessibility, or suitability for any particular event. Organizers are solely responsible for confirming venue details and securing appropriate agreements before publishing an event.
9. User Content
9.1 Content Ownership
You retain ownership of all Content you submit, upload, or publish on the Platform, including event descriptions, images, logos, and promotional materials. By submitting Content, you grant EventGrid a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, distribute, and promote your Content solely for the purposes of operating, marketing, and improving the Platform.
9.2 Content Standards
You are solely responsible for all Content you post and represent that you have all necessary rights to submit such Content. You agree not to post Content that:
• Is false, defamatory, misleading, or fraudulent.
• Infringes any third-party intellectual property, privacy, or publicity rights.
• Contains hate speech, explicit sexual content, graphic violence, or material that targets any protected group.
• Violates any applicable law or regulation.
• Includes unauthorized advertising, spam, or promotional material unrelated to your event.
9.3 Content Removal
EventGrid reserves the right, but has no obligation, to monitor, review, edit, or remove any Content at any time and without notice if it determines the Content violates these Terms, our Community Guidelines, or is otherwise objectionable. Removal of Content does not terminate any license granted to EventGrid for that Content prior to removal.
10. Intellectual Property
The Platform, including its design, software, source code, trademarks, logos, trade names, and all proprietary content created by EventGrid, is the exclusive property of The Event Grid, LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership right or license to EventGrid's intellectual property beyond the limited use license described in Section 4.1.
You agree not to copy, reproduce, distribute, modify, create derivative works from, reverse engineer, or otherwise exploit any part of the Platform or EventGrid's intellectual property without our prior written consent. Any unauthorized use may result in termination of your account and legal action.
11. Mobile Application
EventGrid's mobile application is available on iOS (via the Apple App Store) and Android (via the Google Play Store). Your use of the mobile application is subject to these Terms as well as the terms of service of the applicable app store platform. EventGrid may release updates to the mobile application from time to time. Continued use of the application following an update constitutes your acceptance of any changes introduced.
The mobile application may request access to certain device features, including location services, camera (for QR code scanning), and push notifications. You may manage these permissions through your device settings. Disabling certain permissions may limit the functionality of the application.
12. Multi-Language Support and International Use
EventGrid offers the Platform in multiple languages to serve a global user base. While we strive for accuracy in all language versions, in the event of any conflict or inconsistency between the English version and a translated version of these Terms, the English version shall prevail.
Users accessing the Platform from outside the United States are responsible for compliance with all applicable local laws and regulations. EventGrid makes no representation that the Platform or its content is appropriate or available for use in all jurisdictions.
13. Third-Party Services and Links
The Platform integrates with and may contain links to third-party services, including Stripe for payment processing, mapping services for venue discovery, social media platforms, and analytics providers. These third-party services are governed by their own terms of service and privacy policies, which you are responsible for reviewing.
EventGrid does not endorse, control, or assume responsibility for the content, practices, or performance of any third-party services. Your interactions with third-party services are solely between you and the applicable third party. EventGrid shall not be liable for any damages or losses resulting from your use of third-party services.
14. Disclaimers of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EVENTGRID EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
EventGrid does not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) any defects or errors will be corrected; (c) the Platform is free of viruses or other harmful components; or (d) results obtained from use of the Platform will be accurate or reliable.
EventGrid does not endorse, warrant, or guarantee any event listed on the Platform, and makes no representations regarding the quality, safety, legality, or any other aspect of any event. Attendees assume all risk associated with attending events.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE EVENT GRID, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL EVENTGRID'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO EVENTGRID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100.00).
The limitations of liability in this section apply regardless of the form of action, whether based on contract, tort, negligence, strict liability, or otherwise. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless The Event Grid, LLC and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform; (c) your User Content; (d) your event (if you are an Organizer); (e) your violation of any applicable law or regulation; or (f) your infringement of any third-party rights.
17. Dispute Resolution and Governing Law
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [State], United States, without regard to its conflict of law principles.
17.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact EventGrid at legal@theeventgrid.com and provide a written description of the dispute, the relief sought, and your contact information. The parties agree to negotiate in good faith for a period of thirty (30) days in an attempt to resolve the dispute informally.
17.3 Arbitration
If a dispute cannot be resolved informally, you and EventGrid agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in [City, State]. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
17.4 Class Action Waiver
YOU AND EVENTGRID AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
17.5 Exception for Injunctive Relief
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including protection of intellectual property rights.
18. Suspension and Termination
EventGrid reserves the right to suspend, restrict, or permanently terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, fraudulent activity, conduct that is harmful to other users or to EventGrid, or at EventGrid's sole business discretion.
Upon termination: (a) your license to use the Platform immediately ceases; (b) you remain liable for any obligations incurred prior to termination, including outstanding payments; and (c) EventGrid may retain your data as required by law or for legitimate business purposes in accordance with our Privacy Policy.
Organizers whose accounts are terminated for cause forfeit any pending payouts where the cause involves fraud, misrepresentation, or a material breach of these Terms.
19. Force Majeure
EventGrid shall not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, civil unrest, terrorism, internet or telecommunications outages, or failures of third-party service providers.
In the event of force majeure affecting an Organizer's ability to hold an event, the Organizer must notify EventGrid as soon as practicable. EventGrid will work with the Organizer in good faith to determine appropriate next steps, including rescheduling or refund processing.
20. Modifications to the Platform
EventGrid reserves the right to modify, suspend, or discontinue any part of the Platform at any time, including features, functionality, pricing structures, and availability in certain regions. We will provide reasonable notice where practicable, but are not obligated to do so. EventGrid shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.
21. General Provisions
21.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated herein, constitute the entire agreement between you and EventGrid with respect to your use of the Platform and supersede all prior agreements, understandings, and representations.
21.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
21.3 Waiver
EventGrid's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any breach shall not constitute a waiver of any subsequent breach.
21.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without EventGrid's prior written consent. EventGrid may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
21.5 Notices
Any notices or communications required under these Terms shall be sent to EventGrid at legal@theeventgrid.com or to the mailing address provided in the Contact section. EventGrid may provide notices to you via your registered email address or through a prominent notice on the Platform.
